Job Description
OneTrust is seeking a Corporate Counsel to report to the Company's Director, Corporate Counsel. The candidate will handle corporate, governance, and transactional legal matters. They will partner with business groups throughout OneTrust, providing real-time analysis and practical advice under pressure. The Corporate Counsel will collaborate with finance, tax, and legal teams worldwide.
Role involves:
- Providing legal advice on corporate law, governance, equity, and transactional matters.
- Managing U.S. and international subsidiaries, including registrations, licenses, and compliance.
- Managing governance projects like entity formations, dissolutions, and mergers.
- Supporting subsidiaries and global expansion, advising on board matters and regulatory requirements.
- Supporting corporate governance processes, including preparing board materials and maintaining records.
- Assisting with M&A, financings, and strategic transactions.
- Maintaining the legal entity database.
- Driving cross-functional projects and improving processes.
- Implementing and maintaining compliance policies and processes.
Requirements:
- 5-8+ years of general corporate legal experience in law firms and in-house.
- Expertise in governance, finance, and equity.
- Membership in good standing with a U.S. state bar.
- Well-rounded legal expertise in corporate areas.
- Experience in a fast-paced company.
- Excellent project management skills.
- Strong understanding of accounting and corporate finance principles.
- Familiarity with entity management and electronic board portals.
