Job Description
OneTrust is seeking a Corporate Counsel to join their team in New York. This role reports to the Director, Corporate Counsel and is responsible for a broad array of corporate, governance, and transactional legal matters. The ideal candidate will possess strong technical, advisory, and project management skills, along with excellent business judgment and the ability to effectively partner and collaborate with business groups throughout OneTrust.
The role involves:
- Providing practical legal advice on corporate law, corporate governance, equity and transactional legal matters
- Managing day-to-day maintenance of U.S. and international subsidiaries
- Managing complex governance projects such as international entity formations, dissolutions and mergers
- Supporting OneTrust’s current subsidiaries and global expansion efforts
- Supporting corporate governance processes
- Maintaining legal entity database
- Assisting with implementing and maintaining compliance related policies and processes
The ideal candidate has:
- 5-8+ years of general corporate legal experience gained at both law firms and in-house
- Membership in good standing with a U.S. state bar
- Well-rounded legal expertise in multiple corporate areas
- Experience in a fast-paced company
- Excellent project management skills
- Strong understanding of accounting and corporate finance principles
- Familiarity with entity management systems, electronic board portals, and electronic document filing and maintenance
