Associate Corporate Counsel

Job Description

Intercom, the AI Customer Service company, is seeking an Associate Corporate Counsel to join their Legal team. This role will support corporate, board, equity, and securities matters, as well as corporate governance and compliance initiatives. The Associate Corporate Counsel will collaborate with various teams, including Finance, Accounting, Tax, Stock Administration, and HR.

The role involves:

• Supporting corporate secretarial and governance matters.
• Providing corporate governance advice and support.
• Managing corporate structure and maintaining compliance records.
• Assisting with board matters and director onboarding/offboarding.
• Supporting equity plan administration and other equity matters.
• Providing support for strategic corporate transactions.
• Advising on corporate-related matters such as insider trading policy and trading plans.
• Drafting resolutions, agreements, policies, and procedures.
• Supporting public company readiness and compliance framework.
• Supporting the development and implementation of compliance and ethics programs.
• Developing strong relationships with cross-functional teams.
• Supporting the continuous improvement of policies, procedures, and forms for the Legal department.
• Supporting special projects as needed.

Requirements:

• 5+ years of relevant experience as an attorney.
• Ability to multi-task and thrive in a fast-paced environment.
• Attention to detail and strong organizational skills.
• Interest in corporate compliance and ethics.
• High level of initiative, flexibility, and adaptability.
• Excellent interpersonal skills and a team-first approach.
• Positive attitude, good humor, high empathy, and composure.
• J.D. degree from an accredited law school and California state bar license.
