Job Description
Grammarly is seeking a Senior Corporate Counsel to join its Legal team. This role involves overseeing legal due diligence, supporting the structuring and negotiation of corporate transactions, overseeing post-closing integration, and supporting corporate governance and investor relations matters. The Senior Corporate Counsel will report to the Head of Corporate and Compliance, Legal, and will partner with Executive, Corporate Development, Finance, and People teams.Role responsibilities include:
  • Collaborating cross-functionally on corporate transactional and investor-related matters.
  • Structuring, conducting, and managing legal due diligence.
  • Drafting, negotiating, and reviewing transaction documents.
  • Assisting in deal execution logistics and post-closing integration.
  • Supporting corporate governance matters.
  • Developing strategies for handling legal issues and building scalable solutions.
  • Advising internal stakeholders on legal risks and obligations.
Requirements for the role:
  • 8+ years of experience in corporate governance, M&A, strategic investments, due diligence, and integration.
  • Experience supporting finance and investor relations at a high-growth tech company.
  • Excellent time management skills.
  • Comfort working with cross-functional teams and advising senior leaders.
  • Clear and empathetic communication skills.
  • JD and bar admission in at least one US state.
  • Ability to collaborate in person in San Francisco 2 days per week.
