Corporate Counsel

Job Description

Notion is seeking a Corporate Counsel to provide legal guidance on corporate transactions, governance, and compliance matters. The Corporate Counsel will collaborate with stakeholders across the organization to drive key projects and initiatives and help shape Notion's corporate legal strategy. Notion is an in person company, and currently requires its employees to come to the office for two Anchor Days (Mondays & Thursdays) and requests that employees spend the majority of their week in the office (including a third day).What this role involves:

• Advising on corporate and securities matters.
• Developing and maintaining a robust corporate compliance program.
• Counseling on equity matters, including Notion’s equity compensation programs.
• Executing M&A deals and other strategic transactions.
• Supporting Notion’s expanding international operations.
• Advising on investor relations matters.

Requirements:

• 5+ years of legal experience at a top tier law firm or in-house at a software technology company.
• Admitted to the California Bar or eligible for Registered In-House Counsel exception.
• Deep knowledge of corporate governance matters and securities laws.
• Extensive experience leading complex corporate transactions.
• Demonstrated ability to deliver strategic, practical and solution-focused legal guidance.
• Self-starter who can work independently and collaboratively.
• Outstanding written and verbal communication skills.
• Experience with equity compensation matters and management of equity compensation programs.
• Resilience and resourcefulness.
• Demonstrated interest in artificial intelligence solutions in a work setting.
