Job Description
Xaira Therapeutics is seeking a Vice President, Head of Legal and Secretary. This role is crucial for positioning the company for future growth, reporting to the Chief Operating Officer and serving as part of the senior management team. The ideal candidate will possess significant experience as a head of legal/general counsel and corporate secretary. This role involves being a business partner to product development teams.

Responsibilities:
  • Oversee all legal support, managing legal advice and external support.
  • Lead corporate governance and Board preparations.
  • Draft and negotiate commercial and employment-related agreements.
  • Create efficient legal support processes and manage external counsel.
  • Oversee stock administration and equity compensation functions.
  • Ensure compliance with laws and implement necessary policies.
  • Advise executive and functional teams on legal matters.
  • Oversee IP counsel, developing strategies to protect intellectual property.
  • Draft and negotiate IP agreements and advise on related employment matters.
  • Maintain awareness of the IP landscape.

Requirements:
  • Member of the California Bar or eligible for the Registered In-House Counsel program.
  • Minimum 15 years of experience in private practice and in-house roles.
  • Experience in corporate and transactional matters.
  • Prior experience as a head of legal or GC and corporate secretary in biotech/pharmaceutical.
  • Knowledge of intellectual property transactions.
  • Background in biological or computer science preferred.
  • Experience managing external counsel.
