Sotheby's is seeking a Senior Counsel to join the Sotheby’s Financial Services (SFS) team. The Senior Counsel will structure bespoke art-backed financial transactions for SFS’s clients across multiple jurisdictions. They will work closely with the SFS team and other stakeholders to ensure transactions are legally sound and aligned with the company's interests. The role involves:
Drafting, reviewing, and negotiating loan agreements and security documents.
Conducting due diligence and facilitating transaction closings.
Advising on the creation and perfection of security interests.
Advising the SFS business on lending regulations.
Requirements:
J.D., LL.M., or foreign equivalent.
4+ years of corporate/commercial experience, with emphasis on general corporate, M&A, and corporate finance.
4+ years of experience with secured lending transactions and UCC Articles 8 and 9.
