Altos Labs is seeking a Senior Counsel II / Corporate Counsel, Transactions to join their legal team. This role involves working alongside the General Counsel in a fast-paced start-up environment, ensuring business transactions create value for Altos and meet risk and compliance standards. The Corporate Counsel will play a crucial role in various areas of corporate law, supporting Altos' mission to reverse disease, injury, and disabilities.

The role is onsite in Redwood City, California.

Responsibilities:

  • Support General Counsel in drafting and negotiating agreements.
  • Review agreements for accuracy and compliance.
  • Support legal processes in corporate due diligence, mergers, acquisitions, and complex transactions.
  • Communicate with in-house and external counsel.
  • Advise stakeholders on contractual risk and compliance.
  • Consult on general corporate and licensing legal matters.
  • Build collaborative partnerships with other legal and business functions.
  • Maintain knowledge of legal developments and industry trends.
  • Manage outside counsel work product and budget.
  • Model high integrity.

Requirements:

  • 6+/11+ years of experience in corporate and licensing transactions in the life sciences.
  • Law firm experience.
  • Experience in transactions involving companies (private or public).
  • Familiarity with intellectual property concepts and licensing practices.
  • Experience supporting senior attorneys in complex transactional work (e.g., asset acquisition, M&A).
  • Relevant technical background (science or engineering degree(s)) a plus.
  • Juris Doctorate from an ABA-accredited law school.
  • Admission to the California Bar or ability to qualify as Registered In-House Counsel.
  • Knowledge of national regulations, mergers and acquisitions, and general corporate law.
  • Familiarity with corporate structures.
  • Understanding of regional regulations and cross-border transactions for for-profit entities.
  • Attentive to detail.
  • Adept at working independently and reliably under tight timeframes.
  • Excellent written, verbal, and interpersonal communication skills.
